The offer comes in the face of opposition from rival software maker Oracle, which is mounting a separate, hostile bid for PeopleSoft.
PeopleSoft, based in Pleasanton, Calif., said it is offering J.D. Edwards stockholders cash and PeopleSoft common stock, with a value equal to $7.05 in cash plus 0.43 of a PeopleSoft common share for each share of J.D. Edwards common stock they own.
The value of the deal to J.D. Edwards stockholders is $14.33 per share, based on the $16.92 per share closing price of PeopleSoft common stock on June 13, the trading day prior to when it announced an amended deal with J.D. Edwards.
Thursday's PeopleSoft tender offer for Denver-based J.D. Edwards comes a day after Oracle stepped up the pressure by raising its cash bid for PeopleSoft by 22 percent, which would result in an offer, if carried out, of $6.3 billion for PeopleSoft.
